Welcome to Chic UGC, a platform operated by Yimpy LLC (“Chic UGC,” “we,” “our,” or “us”). These Terms of Service (the “Terms”) govern your access and use of the Chic UGC platform, including our website, mobile application, and related services (collectively, the “Services”).
By accessing or using Chic UGC, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

- “Client” refers to a User purchasing or requesting UGC services from a Creator.

- You must be at least 18 years old (or the age of majority in your jurisdiction) to use Chic UGC.
- By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement and comply with these Terms.
📝 3. Account Registration
- You must create an account to access most features of Chic UGC.
- You agree to provide accurate, complete, and updated information during registration.
- You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities occurring under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
💼 4. Services Provided
Chic UGC operates as a marketplace platform connecting Creators with Clients for the purpose of creating and delivering User-Generated Content.
- We do not act as an employer of Creators nor as an agent for Clients.
- Our role is limited to providing a platform for facilitating transactions between Users.
💳 5. Payments and Fees
- All payments between Clients and Creators must be processed through Chic UGC’s authorized payment system.
- Service Fees: Chic UGC charges a platform commission on each transaction (percentage displayed during checkout).
- Payments are final and non-refundable, except where required by law or under our Refund Policy.
- You authorize Chic UGC and its payment providers to charge your selected payment method for all fees incurred.
⚖️ 6. User Responsibilities
When using Chic UGC, you agree that you will:
- Comply with all applicable laws and regulations.
- NOT:
- Post or share illegal, offensive, or harmful content.
- Infringe on third-party intellectual property rights.
- Engage in fraud, harassment, or abusive behavior.
- Attempt to hack, reverse-engineer, or disrupt our platform.
- You are solely responsible for any Content you upload, create, or share.
📜 7. Intellectual Property
- Ownership: All intellectual property rights in the platform belong to Yimpy LLC.
- User Content:
- You retain ownership of the content you create and upload.
- By posting content, you grant Chic UGC a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating the Services.
- Do not upload content that you do not own or do not have the rights to share.
📂 8. Marketplace Rules
- Chic UGC acts solely as a neutral venue. We do not:
- Guarantee the quality, legality, or safety of services provided by Creators.
- Guarantee that Clients will pay for services unless processed through the platform.
- Disputes between Users should be resolved in good faith. Chic UGC may assist but is not liable for the outcome.
💣 9. Prohibited Activities
You agree not to:
- Use the Services for any unlawful or fraudulent purpose.
- Solicit or facilitate illegal activities.
- Circumvent the platform by conducting off-platform transactions.
- Upload viruses, malware, or harmful code.
📡 10. Service Availability
- We strive to keep Chic UGC available 24/7, but we do not guarantee uninterrupted service.
- Chic UGC may suspend or terminate services for maintenance, upgrades, or security reasons.
❌ 11. Termination
We may suspend or terminate your account at any time, without notice, if you:
- Breach these Terms.
- Engage in fraudulent or illegal activity.
- Misuse the platform or harm other users.
💼 12. Limitation of Liability
- Chic UGC provides the Services “as is” and “as available” without warranties of any kind.
- To the maximum extent permitted by law, Chic UGC and Yimpy LLC are not liable for:
- Loss of data.
- Lost profits.
- Indirect, incidental, or consequential damages.
- Our total liability shall not exceed the amount paid by you in the past 6 months.
📜 13. Indemnification
You agree to indemnify and hold harmless Chic UGC, Yimpy LLC, and its affiliates from any claims, damages, or losses arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your infringement of any third-party rights.
🌍 14. Governing Law & Jurisdiction
- These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of laws principles.
- Any disputes shall be resolved in the courts of New Mexico.

- Upload, share, or promote illegal content or services.
- Engage in hate speech, harassment, or abusive behavior.
- Distribute malware, viruses, or harmful code.
- Use Chic UGC for fraudulent transactions or scams.
- Circumvent the platform by arranging off-platform payments.
- Violate intellectual property rights of others.
- Share explicit sexual content without proper labeling or consent.
- Attempt to hack, exploit, or reverse-engineer the platform.
Violations may result in:
- Immediate account suspension or termination
- Permanent ban from the platform
- Legal action if applicable
